一站式商業服務平台條款及細則
本條款及細則（以下簡稱“本條款”）適用於訪問及使用澳門電訊有限公司（以下簡稱“CTM”）的中小企業平台網站的產品、軟件、網站及服務（以下統稱“本服務”）。
當閣下訪問及使用本服務，即表示閣下同意本條款適用於訪問及使用本服務，並同意受本條款以及任何適用於CTM 所提供的個別產品及服務的條款及細則所約束，這些條款及細則包括「互聯網服務的條款及細則」、「可接受使用政策」（ AUP ）以及「公平使用政策」（ FUP ）。 倘若閣下以組織名義使用本服務，閣下保證並承諾可代表或有權代表該組織接受本條款。
倘若閣下不同意本條款，敬請閣下不要使用本服務。
1. 服務
CTM作為服務提供者，在閣下嚴格遵守本條款的前提下，將讓閣下（或閣下的組織，視屬何情況而定）使用本服務，以便閣下可透過互聯網，以無線或遠程方式儲存及訪問其內容（包括網站、文件、文檔、電郵、訊息、聯絡人、相片、記錄等）。
只要閣下為本網站的用戶，本條款將具有完全效力。 如有任何服務或功能終止，閣下將仍受本條款下所應承擔的義務所約束，包括任何賠償、保證以及責任限制。 如本條款及任何其他適用條款之間發生抵觸，以後者為准。
2. 修改條款
CTM 有權隨時修改本條款，這些修改於本網站發佈後即時生效。 閣下同意定期檢視本條款，以便獲悉此等修改。 閣下繼續訪問或使用本網站即被視為閣下已確定接受經修改的條款，以及接受此等變更通知的合理準則。
3. 修改本服務
CTM 保留隨時更改、更新、改善、完善、改變、刪除、減少本服務及其功能的權利，無論是否就此等行為發出了通知。 因此， CTM可以停止、暫停或修改閣下訪問及使用本服務。 閣下理解、知悉並明確同意CTM不必為任何本網站的修改、暫停或終止而向閣下或任何第三方負責。
4. 內容
CTM 保留權利，隨時且無須事先通知下依照適用法律及法規，及／或配合當局，刪除或移除閣下的某些內容，或限制閣下訪問或使用本服務。
使用本服務，閣下向CTM提供的信息、文件、資料夾、文檔、電郵等（以下合稱“內容”），閣下擁有完整所有權，且需對提供予CTM的內容、透過本服務儲存、發佈或訪問本服務的內容負責。
因閣下使用本服務而向CTM提供的一切內容，包括閣下儲存、分享、發佈或訪問本服務的內容，澳門電訊並沒有所有權，亦不對此等內容負責。
除了授予CTM運作、營運及提供本服務所需的權利外，閣下使用本服務並未授予CTM任何該內容的權利或知識產權。 閣下允許CTM作為本服務的技術管理者所需下，訪問、收集及處理該內容。 閣下並同意擴大這些限制權利及許可，在CTM認為有需要時，閣下同意批准第三人提供服務維護及技術支援。
5. 私隱
CTM 承諾保護閣下的個人資料。
個人資料指所有及任何與閣下有關之資料，包括但不限於閣下的姓名、聯絡號碼、電郵地址以及郵寄地址，而此等資料由 CTM 通過閣下訪問或使用本服務而獲得。
無論何時，當閣下向CTM提供此等資料， CTM 均須依照所有關於保護個人資料的法律及法規，包括個人資料保護法（ 第 8/2005 號法律 ），合法使用閣下的資料。
閣下明白及同意其提供的個人資料將會由 CTM 持有並用於各種與 CTM 業務運作有關的目的，包括： 處理閣下的申請，管理閣下戶口，執行信用檢查，向閣下提供要求的產品及/或服務，並向閣下發送帳單；
處理閣下的要求、查詢或投訴以及其他與客戶服務有關的活動；
執行市場、產品及服務分析以及一般 CTM 推廣的產品及服務；
聯絡閣下（包括通過信函、電子郵件、傳真、短訊、傳呼機或電話聯絡），向閣下推廣 CTM 的產品和服務，以及經CTM 認真挑選後認為閣下可能感興趣的第三方產品及服務（除非閣下書面要求CTM不要此類通知）；
登記閣下的詳細資訊，向閣下分配或提供獎勵、折扣或其他利益，以及執行由於閣下參加 CTM 忠誠或獎勵計劃以及其他類似計劃而提出的任何申請或要求；
加入由 CTM 或第三方提供或營運的任何電話或類似目錄或目錄查詢服務（閣下可書面向CTM表示反對或選擇此服務）；
執行任何與法律、政府或監管要求有關的，或與法律訴訟、防止犯罪或詐騙、偵查或起訴有關的活動；
執行與CTM業務營運有關的活動，如人事培訓、品質控制、網路監控、電腦及其它系統的測試及維修等。
閣下明白並同意 CTM 也可將閣下的個人資料用於上述相關的目的。 例如， CTM 可將閣下的個人資料用於通知閣下關於 CTM 產品及服務的新消息。
除非獲得閣下同意，否則CTM不會將閣下的資料用於上述以外的目的。
CTM 只會以公平的方式使用閣下的個人資料（參照已向閣下披露的目的，或與閣下向CTM提供此等資訊的原因的相關目的）。 CTM 只在法律要求或許可，又或與收集目的有關時才會保存閣下的資料。
未經閣下明確同意， CTM 不會向任何其他公司或組織披露或共用閣下的個人資料，但法律允許或依法要求時除外。 CTM 可依法與政府或監督機構以及執法部門共用閣下的個人資料。
CTM 將採取適當的技術及安全措施，防止閣下的資料出現未經授權或非法訪問、或意外損失或損毀或損壞的情況。
閣下明白並同意，CTM按照相關法律及法規可能有必要將閣下的個人資料轉交位於澳門特別行政區以外國家和地區的其他供應商或服務提供者，這可能是由於 CTM 的供應商或服務提供者位於澳門以外或閣下到訪澳門以外的國家和地區期間使用 CTM 的服務及產品。
閣下明白並同意，透過本服務（如論壇、聊天室、佈告板或其他允許用戶張貼資訊並可由公眾或一般用戶訪問的專欄）由閣下向公眾所發佈或分享的信息將成為公開資料，並且將不受一般私隱規定所保護。 以這種方式披露個人資料時，閣下須謹慎注意，CTM對此並不承擔任何責任。
閣下現明確同意 CTM依照本段規定處理閣下的個人資料。
6. 閣下的責任
閣下明白及同意須對其行為、使用本服務、閣下網站的內容，又或倘若閣下使用本服務時與第三方之間的文件、文檔及通信，自行承擔責任。
CTM並無義務監控閣下的內容，亦沒有對內容又或當中所載的資料的準確性、完整性、適當性、合法性及正當性進行監控。
某些文件或內容可能受第三方的知識產權保護，除非閣下已獲得相關知識產權所有人的特別授權，否則閣下不應複製、上載、下載或分享這些知識產權屬第三方的文件。 閣下須對使用本服務的所有活動承擔全部責任，包括複製、上載、下載或分享檔案。
閣下不能上傳任何惡意文件或軟體至本服務。
閣下須承擔自行維護、保護及備份你的內容至閣下的電腦或其他裝置的責任。 CTM會使用專業技術及謹慎提供本服務，但就任何資料的損失或損壞，包括閣下的內容，又或任何儲存於本服務的文件，又或與備份有關的費用或開支，恢復或回復閣下的內容，CTM一概不承擔責任。
使用本服務可能需要兼容的裝置、互聯網接入及某些軟件，所有均可能需要額外費用及定期更新，並將影響本服務的性能。 閣下同意須自行滿足此等要求，並且此等要求將不時改變。
本服務在一定程度上需要閣下獲得、下載或安裝的軟件，CTM可授予閣下一個有限制的、非專屬的、不可轉讓及可撤銷的牌照，以讓閣下使用此等軟件，而使用該等軟件僅得以訪問及使用本服務為目的。 倘若閣下以任何方式違反本條款，使用軟件的牌照將自動廢止。 CTM保留一切權利。 閣下不能對軟件進行逆向工程或反編譯。 當有新版本時，本服務將不時更新軟件（如適用）。
7. 登記、登入名稱、密碼、保安
如本服務任何部分要求閣下登記或開立戶口，閣下必須提供真實、準確、完整以及最新的資料。 閣下亦可能被要求選擇一個登入名稱及密碼。 請選擇閣下不易忘記的高強度密碼，但請勿使用他人可輕易猜中閣下密碼的資料。 密碼須定期修改，以作為附加的預防措施。
閣下不應向任何人透露閣下的密碼，且不應因為任何目的准許或授權任何人使用閣下的登入名稱或密碼。
本服務中某些部分僅供登記用戶訪問，登記用戶僅可擁有一個唯一的用戶名稱及密碼。 如閣下被發現與任何非登記用戶共用閣下的密碼， CTM 可於未經通知的情況下，即時終止閣下對本網站及／或本服務的訪問權。
閣下有義務維護密碼及戶口的保密性，且閣下須完全負責所有經閣下密碼或戶口確認而發生的活動。 CTM 可在任何時候將由使用閣下登入名稱及密碼訪問或使用本網站的行為視為閣下所作的行為，而不論該行為是否由其他人士在未經閣下知悉或許可的情況下作出。
對於任何對閣下密碼或戶口的未經授權的使用或任何其他違反安全的行為，閣下同意會立即通知 CTM 。 CTM 不會對閣下因他人在你知悉或未知悉的情況下使用閣下的密碼或戶口而可能導致的任何損失或損害負責。 未經戶口所有人同意，閣下在任何時候均不應使用任何他人的戶口。
閣下不得以任何可能損害或損壞本服務方式，或干擾其他人士使用本服務。
用戶禁止作出以下行為： 訪問並非供該用戶訪問的資料，或登入該用戶未經授權訪問的戶口；
試圖在未經適當授權的情況下探測、掃描或測試系統或網路的漏洞或違反本服務的安全或驗證措施；
偽造任何標題或以其他方式操縱本服務的識別碼，以達致偽裝由本服務發送文件或通信；
試圖干擾本服務對任何用戶提供服務、主機或網路之正常運作，包括但不限於向CTM的系統及網站發送病毒、超載、超流量、垃圾郵件、郵件炸彈或粉碎本服務等手段；
單獨或大量發送非應邀的商業電子郵件（亦稱為「垃圾郵件」）；
通過自動程式從本服務大量下載電郵地址；
在未經 CTM 明確書面許可下，通過深層鏈結或任何其他方式繞過本服務主頁，或將本服務或任何CTM網站或材料至於框架中。
如未經 CTM 明確書面許可，用戶亦被禁止在以商業為目的的電子郵件中以超鏈結指向本服務或任何CTM網站；
試圖獲得對本服務功能或活動的未經授權的訪問，以任何形式干擾進入或登記的操作；
偽造身份或假冒任何人士或實體；
建立任何貌似本服務的假冒網站或其他虛假網站，影射本服務的內容又或複製本服務的資料及／或設計的任何部分。
侵犯CTM系統或網路的安全可能會導致民事或刑事責任。 CTM 將對任何可能侵犯系統或網路安全的行為進行調查，並且可能涉及並與用戶的僱主、電訊服務提供者以及執法部門配合調查及起訴涉及此等侵犯的用戶。 對於 CTM 根據其判斷認為已違反本服務安全規定的用戶， CTM 將終止其訪問權。
8. 免責條款
閣下明確理解並同意，閣下承擔因使用本服務而產生的所有責任及風險。
CTM 不會保證、表述或擔保使用本服務、軟件、信息或任何內容將無中斷或無誤差，閣下同意CTM可根據本條款暫停或終止提供本服務。
閣下明白及同意本服務，以及本服務上的任何信息及內容均依「現況」及「現有」的基礎提供的，並在法律允許的範圍內， CTM 不作任何明確或暗示的保證、陳述或認可，包括但不限於銷路保證、適合特定目的的保證、或有關本服務以及通過本服務或互聯網一般可得的任何資料、產品或服務的權利或非侵權性保證。 閣下明白及同意CTM無需為任何因使用或訪問本服務而生的直接或間接費用或損害負責。
CTM 將盡合理努力保持本服務的運行狀態。 CTM 計劃不時採取某些行業接受的預防措施確保本服務、其部分及CTM網站的安全，使它們可依照與此等預防措施所採用的行業標準被評定為“安全的”。 然後，閣下明確理解並同意，確保基於互聯網的資源以及服務，又或通過互聯網傳送或訪問的任何內容的準確性、可靠性、完整性、及時性、安全性、可用性以及性能已超出 CTM 的控制範圍，而且 CTM 不會保證、擔保或表述使用本服務以及任何 CTM 網站均無差錯，同時針對所有病毒、蠕蟲、木馬、安全威脅或其他漏洞而受到保護。
因此， CTM 不會保證（a）本服務將滿足閣下的要求或將會一直可以被訪問，（b）本服務將會不間斷的、及時的、安全的、無錯誤的或免受任何電腦病毒或其他入侵或有害的機制，（c）使用本服務所獲得的結果均為準確或可靠的，（d）閣下通過本服務獲得的任何產品、服務、資料或其他材料將符合閣下預期，以及（e）糾正本服務的任何錯誤，或糾正提供予閣下作為本服務一部分的軟件的任何錯誤。
9. 賠償
閣下明確理解並同意，任何因閣下訪問或使用本服務、違反本條款、違反他人的任何權利以及以其他方式使用本服務而產生的任何索償、要求及訴訟、損失、損害、費用及開支（包括但不限於法律及會計費用），閣下將向CTM提供辯護、賠償，並保證CTM 、其母公司、其管理人員、董事、僱員、代表以及代理、供應商、特許商、廣告商以及任何第三方內容供應商不受損害。 此項義務將於閣下與 CTM 的關係或閣下對本服務終止使用後仍然有效。
CTM 將及時就任何此等索償、起訴或訴訟通知閣下，並且在閣下要求時協助針對任何此等索償、起訴或訴訟進行辯護，相關費用由閣下承擔。 CTM 保留對此等索償單獨控制及辯護的權利，但相關賠償將由閣下承擔； 在此情況下，閣下將全力配合 CTM 提出任何可用的辯護。
10. 責任限制
在法律所許可的最大範圍內，CTM在任何情況下均不需為任何因使用或訪問或無法使用或訪問本服務、本服務或內容的傳輸延誤、本服務上提供或從本服務下載或分享的任何資料或內容的不準確或錯誤、或本服務的性能等產生或與此相關的直接或間接的、特別的、偶發的、結果的或任何其他損失或損害負責（包括但不限於資料損失或損壞、利潤、商譽、價格或機會損失、預期存款的損失或業務中斷，無論是因合約而生的或侵權而生），即使 CTM 已獲知發生此等損害的可能。
無論在本條款中是否有任何其他規定，閣下明確理解並同意因閣下訪問、使用或無法訪問或使用本服務而提出的所有索償，CTM 對用戶所需承擔的金額將限於 CTM 作為提供服務的報酬而所收取的總數目，無論是多次索償也不會增大限額。
11. 知識產權
本服務的內容（包括但不限於本服務包含或由CTM透過本服務提供的資料、通訊、軟件、設計、文字、圖形、藝術品、影像以及聲音）由 CTM 、其內容供應商以及第三方特許商提供。 本服務或其包含的內容以及每一個CTM網站的知識產權屬於 CTM、其內容供應商以及/或者第三方特許商所有。 所有權利均予保留。 未經CTM事前許可，不得以任何形式或方式複製、修改、傳輸、發佈、再出版、下載、張貼或傳輸本服務的內容及每一個CTM網站，此等形式或方式包括但不限於電子、影印本或錄音。
未經 CTM 事前書面同意，閣下訪問或使用本服務的行為不得被解釋為以暗示、禁止反言或其他方式授予任何使用本服務或任何CTM網站上出現的商標、商號、標誌或行業標誌的特許或權利。 未經 CTM 事前書面同意，閣下不得使用此等商標、商號、標誌或行業標誌。
閣下不得修改、翻譯、反編譯、拆開、逆向工程或以其他方式試圖獲取電腦系統的原始碼以及本服務運作的其他技術，或根據本服務創做派生工程。
12. 終止
閣下可隨止終止使用本服務。 閣下於終止服務前所繳付的費用將不獲退回。 終止本服務並不會免除閣下應負的義務或責任，例如費用或收費。 在某些情況下，CTM可隨時無須事先書面通知下終止或暫停所有或部分本服務、閣下的戶口及終止或暫停閣下訪問或使用本服務。
終止的原因包括但不限於因閣下違反本條款、「互聯網服務的條款及細則」、AUP以及FUP ；
閣下要求取消或終止訪問或使用本服務；
有權限當局的要求或命令；
向閣下提供本服務變為不法時；
技術或保安問題；
閣下從事詐騙活動；
閣下未繳付與本服務有關的費用或收費；
閣下閒置戶口一年。
CTM可自行決定終止、取消或暫停本服務，且CTM對終止或暫停閣下的戶口，或終止或暫停閣下使用或訪問本服務而導致的任何損害或損失，CTM對閣下或任何第三人無須承擔責任。
一旦終止閣下的戶口，或終止閣下使用或訪問本服務，閣下將不能再訪問本服務，包括所有內容。 一段時間以後，CTM可能刪除CTM系統內儲存於閣下的戶口內的所有資料或數據。 閣下明確理解及同意就任何數據損失或損害，包括你的內容，又或任何儲存於本服務的任何文件，又或任何因閣下未備份、恢復或回復閣下的內容有關的一切費用或開支，CTM無須負責。
13. 可分割的條款
如本條款的任何規定，或其應用於任何人士或環境時，被任何具有司法權限的法庭判定為無效或因任何原因不可執行，此等規定的無效性或不可執行性不應影響本條款其他規定的有效性及應用，此等其他規定須保持具有完全效力。
14. 放棄
CTM 未能堅持或嚴格執行本條款的任何規定不應被解釋為放棄任何規定或權利。
15. 管轄法律及管轄權
閣下對本服務的訪問或使用，以及本條款均應受中華人民共和國澳門特別行政區（“澳門特區”）法律管轄並依照其解釋。 澳門特區法院有權管轄因閣下使用本服務而產生或與此相關的或因本條款而產生的任何索賠，然而 CTM 保留針對閣下違反本條款的行為在閣下的居住國內提出訴訟的權利。
CyberSME Terms and Conditions
These Terms and Conditions (hereinafter referred to as the “Terms”) govern your access to and the use of Companhia de Telecomunicações de Macau, S.A.R.L. (CTM) “CyberSME” product, software, websites and services (hereinafter referred to as the “Service”).
By accessing and using Service you are agreeing that these Terms govern your access to and use of the Service and that you are bound by these Terms, as herein as well by any applicable additional terms and conditions that govern individual products and services provided by CTM, including CTM’s General Terms and Conditions of Internet Services, Acceptable Use Policy ("AUP") and Fair Usage Policy ("FUP"). If you are using the Service on behalf of an organization, you warrant and undertake that you represent, or have the authority to represent, and bind such organization to these Terms.
If you do not agree with these Terms, please do not use the Services.
1. Service
CTM is the provider of the Service, and, subject to your strict compliance with these Terms, allows you (or your organization, as the case may be) to use the Service in order to store and access your content (including websites, files, documents, emails, messages, contacts, photos, notes and the like) wirelessly or remotely via the Internet.
2. Modification of the Terms
CTM may modify the Terms at any time at its sole discretion, and such modifications shall be effective immediately upon posting of the modified Terms at this website. You agree to review the Terms periodically to be aware of such modifications and your continued access to or use of this website shall be deemed your conclusive acceptance of the modified Terms and of the reasonableness of these standards for notice of changes.
3. Modification of the Service
CTM reserves the right, at any time, without prior notice and in its sole and absolute discretion, to change, update, improve, refine, alter, remove, reduce the Service and its features and, accordingly, CTM may stop, suspend or modify your access and use of the Service. You understand, acknowledge and expressly agree that CTM will not be liable to you or to any third party for any such modification, suspension or discontinuance of the Website.
4. Content
CTM reserves the right, at any time, without prior notice and in accordance with applicable laws and regulations and/or in cooperation with the authorities, remove, erase or delete certain content or to bar your access or use of the Service.
By using the Service, you provide CTM with information, files, folders, documents, e-mails, and the like (hereinafter collectively referred to as the “Content”). You will retain full ownership and responsibility of the Content provided to CTM, stored, shared, published or accessed with the Service.
CTM claims no ownership nor has it any responsibility over the Content you provide to us while using the Service, including the Content you store, share, publish or access with the Service.
Your use of the Service grants no rights or intellectual property to CTM over your Content except the rights necessary for CTM to run, operate and provide the Service. You are permitting CTM to access, collect, process the Content as may be necessary for CTM to technically administer the Service. You further agree to extend these limited rights and permission, as CTM may deem necessary, to authorize third parties for provide service maintenance and technical support.
5. Privacy
CTM is committed to safeguarding your personal information. Personal information refers to all and any information relating to you, including, but not limited to your name, contact number, e-mail address and mailing address, obtained by CTM via your access to or use of the Service.
Whenever you provide us with information, CTM is legally obliged to use your information in line with all laws and regulations concerning the protection of personal information, including the Personal Data Protection Law (Law no. 8/2005). You understand and agree that the personal information you choose to provide may be held and used by CTM for a number of purposes connected with CTM’s business operations, which include:
(i) processing your application, administering your account, carrying out credit checking, providing you with requested products and/or services, and billing you;
(ii) dealing with requests, enquiries or complaints and other customer care related activities;
(iii) carrying out market and product and services analysis and marketing CTM’s products and services generally;
(iv) contacting you (i.e. including by post, e-mail, fax, SMS, pager or telephone) about CTM’s products and services and the products and services of carefully selected third parties which CTM thinks may be of interest to you (unless user specifically requested not to be contacted to CTM in writing);
(v) registering your details and allocating or offering you rewards, discounts or other benefits and fulfilling any requests or requirements you may have in respect of CTM's loyalty or reward programs and other similar schemes;
(vi) inclusion in any telephone or similar directory or directory enquiry service provided or operated by CTM or by a third party (subject to any objection or preference you may have should be indicated to CTM in writing);
(vii) carrying out any activity in connection with a legal, governmental or regulatory requirement on us or in connection with legal proceedings, crime or fraud prevention, detection or prosecution;
(viii) carrying out activities connected with the running of our business such as personnel training, quality control, network monitoring, testing and maintenance of computer and other systems.
You understand and agree that CTM may also use your personal information for purposes related to those described above. For example, CTM may use your personal information to keep you informed about the new or updated features of CTM’s products and services.
CTM will not use your information for purposes other than described above unless we have your consent.
CTM will only use your personal information in a way that is fair (i.e. with reference to the purposes which are either disclosed to you or are relevant to the reason for which you giving us the information). CTM will only keep your information for as long as we are either required or allowed by law, or as is relevant for the purposes for which it was collected.
CTM will not disclose or share your personal information with any other companies or organizations without your express consent except as allowed or required by law. CTM may share your personal information with the government or regulatory agencies and law enforcement authorities in accordance with the law.
CTM will put in place appropriate technical and security measures to prevent unauthorized or unlawful access to or, accidental loss of or destruction or damage to your information.
You understand and agree that, subject to the relevant laws and regulations, it may be necessary to transfer your personal information to other suppliers or service providers located in countries and territories outside of the MSAR. This may happen where CTM’s suppliers or service providers are based outside of the MSAR or where you use CTM’s services and products while visiting countries and territories outside of the MSAR.
You understand and agree that any information you publish or share to the public through the Service (i.e. such as forums, chat rooms, bulletin boards, or other features that allow users to post information that will be accessible by the public or the user population generally), becomes public information and will not be subject to the privacy protections generally afforded your personal information. You should exercise caution when disclosing your personal information in this way. CTM shall have no responsibility for that activity.
You hereby expressly consent to CTM’s handling and processing of your personal data in accordance with the above provisions.
6. Your Responsibilities
You understand and agree that you are solely responsible for your conduct and use of the Service, the content of your websites, files and folders and your communication with third parties, if any, while using the Service.
CTM has no obligation to monitor your Content, nor for the accuracy, completeness, appropriateness, legitimacy or legality of your Content or the information contained in it.
Certain files and content may be protected by intellectual property rights of third parties. Unless you are specifically authorized by the respective intellectual property rights’ owners, you must not copy, upload, download, or share files whose intellectual property rights belong to third parties. You will be fully responsible and liable for all activities using the Service, including copying, sharing uploading or downloading files.
You must not upload any malicious files or software to the Service.
You are solely responsible for maintaining, protecting and backing-up your Content to your own computer or other device. CTM shall use professional skill and care in providing the Service but CTM will not be liable for any loss or corruption of any data, including your Content, or any files stored in the Service, or for any costs or expenses associated with backing up, retrieving or restoring any of your Content.
Use of the Service may require compatible devices, Internet access and certain software, all of which may require additional fees and regular updates, and will affect the performance of the Service. You agree that it is your responsibility to meet these requirements and that the requirements may change from time to time.
To the extent the Service requires you to acquire, download or install software, CTM grants you a limited, non-exclusive, non-transferable, revocable licence to use such software, and solely for the purposes of accessing and using the Service. Your license to use the software shall automatically be revoked if you breach these Terms in any way. All other rights are reserved. You must not reverse engineer, or decompile the software. If applicable, the Service may update the software from time to time when a new version is available.
7. Registration, Login Name, Password and Security
If any portion of the Service requires you to register or open an account, you must provide true, accurate, complete and updated information. You may also be asked to choose a login name and a password. Please select a strong password that you can remember but does not use information that would be obvious to someone trying to guess your password, and change it regularly as an added precaution.
You shall not disclose to any person your password and shall not permit or authorize any person to use your login name or password for any purpose whatsoever.
Portions of the Service may be accessed only by registered users, who should have only one unique user name with one unique password. If you are found to share your password with any non-registered user, CTM may terminate your access to those portions of this website and/or Service immediately without notice.
You are responsible for maintaining the confidentiality of the password and account, and you are fully responsible for all activities that occur under your password or account identification. CTM may treat any access to or use of the Service at any time by the use of your login name and password as access to or use of the Service by you, notwithstanding that it may have been used by any other person without your knowledge or authority.
You agree to immediately notify CTM of any unauthorized use of your password or account or any other breach of security. CTM will not be liable for any loss or damage that you may incur as a result of someone else using your password or account, either with or without your knowledge. You may not use anyone else's account at any time, without the permission of the account holder.
You may not use the Service in any manner which could damage or impair the Service or interfere with any other party's use of the Service. The following actions are prohibited to the user:
(i) accessing data not intended for such user or logging into an account in which the user is not authorized to access;
(ii) attempting to probe, scan or test the vulnerability of the system or network or to breach the security or authentication measures of the Service without proper authorization;
(iii) forging any headers or otherwise manipulation of the Service identifiers in order to disguise the origin of transmission of files or communications through the Service;
(iv) attempting to interfere with the proper working of the Service to any user, host or network, including, without limitation, via means of submitting a virus to CTM’s systems and websites, overloading, "flooding," "spamming," "email bombing," or "crashing" the Service;
(v) sending unsolicited commercial e-mail individually or in bulk (also called, “Spam”);
(vi) harvesting e-mail addresses from the Service through an automated process;
(vii) bypassing the Service’s homepage via deep linking or any other means, or framing the Service website, or any CTM website or material on the Service without the express written permission of CTM. Users are also prohibited from hyperlinking to the Service website or any CTM websites in an e-mail sent for commercial purposes, without the express written permission of CTM; (viii) attempting to gain unauthorized access to the Service features or activities, interfering with or manipulating in any manner the entry or registration process;
(ix) falsifying identification or impersonating any person or entity;
(x) setting up fake sites or other dummy sites that appear to be the Service website, mirroring the Service contents, or otherwise copying any part of the Service materials and/or layout.
Any Service violations of CTM’s systems or network security may result in civil or criminal liability. CTM will investigate possible violations of system or network security and may involve, and cooperate with a user's employer, telecommunication service provider, and law enforcement authorities in investigating and prosecuting users who are involved in such violations. CTM will also terminate access of any user that CTM believes, in its sole judgment, to have violated the Service security provisions.
8. Disclaimer of Warranties
You expressly understand and agree that you assume total responsibility and risk for your use of the Service.
CTM does not guarantee, represent or warrant that your use of the Service, software, information or any content will be uninterrupted or error-free, and you agree that CTM may suspend or cancel the provision of the Service, in accordance with these Terms.
You understand and agree that the Service, and any information and content made available via the Service are provided on an "as is” and “as available" basis and, to the extent permitted by law, CTM does not make any warranties, representations or endorsements of any kind, whether expressed or implied, including without limitation or exclusion warranties of merchantability, fitness for a particular purpose, or warranties of title or non-infringement with regard to the Service and any information, product or service provided through the Service or on the Internet generally, and CTM shall not be liable for any cost or damage arising either directly or indirectly from the use of or access to the Service.
CTM will use its reasonable endeavors to maintain the Service in operating condition and CTM intends to take certain industry-accepted precautions from time to time to secure the Service or portions thereof, and CTM websites, so that they may be labeled as "secure" in accordance with industry practice in connection with the use of such precautions. However, you expressly understand and agree that it is beyond CTM’s control to ensure the accuracy, reliability, completeness, timeliness, security, availability and performance of Internet-based resources and services or of any content transmitted or accessible via the Internet and that CTM makes no warranty, guarantee, or representation that the use of the Service and any of CTM websites are error-free and protected from all viruses, worms, Trojan horses, security threats or other vulnerabilities.
Therefore, CTM makes no guarantee that (a) the Service will meet your requirements or will always be accessible, (b) the Service will be uninterrupted, timely, secure, error-free or free from computer virus or other invasive or harmful mechanisms, (c) the results or information that may be obtained from the use of the Service will be accurate or reliable, (d) the quality of any products, services, information, or other material obtained by you through the Service will meet your expectations, and (e) any errors in the Service or in the software provided to you as part of the Service (if any) will be corrected.
9. Indemnification
You expressly understand and agree to defend, indemnify and hold harmless CTM, its parent company, its officers, directors, employees, representatives and agents, suppliers, licensors, advertisers, and any third party content providers, from and against any claims, demands and actions, losses, damages, costs and expenses, including without limitation legal and accounting fees, resulting from or arising out of your access or use of the Service, your violation of these Terms, your violation of any rights of another person, or otherwise arising out of your use of the Service in any manner. These obligations will survive any termination of your relationship with CTM or your use of the Service.
CTM will attempt to provide notice to you promptly of any such claim, suit, or proceeding and will assist you, if requested and at your expense, in defending any such claim, suit or proceeding. CTM reserves the right to take exclusive control and defense of any such claim subject to indemnification by you, in which event you will cooperate fully with CTM in asserting any available defenses.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall CTM be liable for any direct or indirect, special, incidental, consequential or any other losses or damages whatsoever (including but not limited to loss or corruption of data, loss of profits, goodwill, bargain or opportunity, or loss of anticipated savings, or business interruption, whether in contract or tort) arising out of or in connection with the use or access or the inability to use or access the Service, delays, inaccuracies or errors in the information or in the transmission of the Service or Content, or any information or Content provided on or over the Service or downloaded or shared via the Service, or performance of the Service, even if CTM has been advised of the possibility of such damages.
Notwithstanding any other provision of these Terms, you expressly understand and agree that CTM’s maximum aggregate liability to users for all claims arising from your access, use or inability to access or use the Service will be limited to the total amounts received by CTM in consideration for the provision of the Service and multiple claims will not enlarge this limit.
11. Intellectual Property Rights
The contents of the Service (including, but not limited to, information, communications, software, design, text, graphics, artwork, images and sounds contained on or made available by CTM through the Service) is provided by CTM, its content providers and third parties licensors. The intellectual property rights to or over the contents contained in the Service and each of CTM websites belong to CTM, its content providers and/or third parties licensors. All rights are reserved. The contents of the Service and each of CTM websites cannot be reproduced, modified, transferred, distributed, republished, downloaded, posted or transmitted in any form or by any means including but not limited to electronic, mechanical photocopying or recording without obtaining prior permission from CTM.
Your access to or use of the Service should not be construed as granting, by implication, estoppel or otherwise, any licence or right to use the trademarks, trade names, logos or service marks without CTM’s prior written consent. You may not, without CTM’s prior written consent, use any of such trademarks, trade names, logos or service marks displayed with the Service or in any CTM websites.
You may not modify, translate, decompile, disassemble, reverse engineer or otherwise attempt to derive the source code for the computer systems and other technology that operate the Service or create derivative works based on the Service.
12. Termination
You may terminate your use of the Service at any time. Any fees paid by you prior to termination are non-refundable. Termination of the Service will not relieve you of any accrued obligations or responsibilities, such as fees or charges.
CTM may at any time, under certain circumstances and without prior notice terminate or suspend all or a portion of the Service, your account and your access or use of the Service. Causes for termination shall include, without limitation, violations of these Terms, the General Terms and Conditions of Internet Services, the AUP or the FUP; request from you to cancel or terminate your access or use of the Service; request or order from competent authorities; where the provision of the Service to you becomes unlawful; technical or security issues or problems; your participation in fraudulent activities; your failure to pay fees or charges in respect of the Service; inactivity of your account for one (1) year.
Any termination, cancellation or suspension of the Service is in CTM’s sole discretion and CTM shall not be responsible to you or any third parties for any damages or losses that may result or arise from such termination or suspension of your account, or you use of, or access to the Service.
Upon termination of your account, or you use of, or access to the Service, you will lose all access to the Service, including all Content. After a period of time CTM may delete all information or data stored in CTM’s systems as part of your account. You expressly understand and agree that CTM will not be liable for any loss or corruption of any data, including your Content, or any files stored in the Service, or for any costs or expenses associated your failure to back up, retrieve or restore any of your Content.
13. Severability
If any provision of these Terms, or the application thereof to any person or circumstances, is found to be invalid or for any reason, unenforceable by any court having competent jurisdiction, the invalidity or unenforceability of such provision shall not affect the validity and application of the remaining provisions of these Terms, which shall remain in full force and effect.
14. No Waiver
CTM’s failure to insist upon or enforce strict performance of any provision of these Terms shall not be construed as a waiver of any provision or right.
15. Governing Law and Jurisdiction
Your access to or use of the Service, as well these Terms, shall be governed by and construed in accordance with the laws of the Macau Special Administrative Region of the People’s Republic of China (the “MSAR”). The courts of the MSAR will have jurisdiction over any claims arising from or related to your use of the Service or from these Terms, although CTM hereby reserves the right to bring proceedings against you for breach of these Terms in your country of residence.
